Terms of Service

Welcome to Heylo. Heylo is operated by Piccup, Inc., a United States corporation ("Heylo," "we," "us"). These Terms of Service ("Terms") are the agreement between you and Heylo. They cover what you can expect from us and what we expect from you.

By using Heylo, you agree to these Terms.

Accounts

When you create an account, please use accurate information and keep your login credentials secure. You're responsible for everything that happens under your account.

You must be at least 13 years old to use Heylo.

One person, one account. If you believe someone else is using your account, contact us at support@heylo.com.

Groups and content

Heylo is a platform for groups to manage events, communications, and payments. The people who run groups on Heylo, whom we call "leaders," are responsible for those groups.

Leader responsibilities

If you're a leader:

  • You are responsible for your group, your events, and all content you or your members post.
  • You must comply with all applicable laws, permits, and regulations that apply to your group and events.
  • Refunds, cancellations, and any related obligations to your members are your responsibility.
  • You are responsible for any member data you collect through Heylo's features and must comply with applicable privacy laws.
  • If you import member data into Heylo (such as names or email addresses), you must have the consent to do so.
  • Your use of member data is also subject to our Privacy Policy and, where applicable, our Data Processing Addendum at heylo.com/dpa.
  • When your group is paid through Heylo, Heylo acts as a limited payment-collection agent on its behalf.

Leaders may require members to accept liability waivers through Heylo. Leaders are solely responsible for the content of their waivers. Heylo stores accepted waivers on the leader's behalf but does not provide legal advice on waiver content.

Your content stays yours

Whether you're a leader or a member, you keep full ownership of the content you post on Heylo. Your posts, photos, events, and messages all stay yours.

To operate Heylo, we need permission to do things like display your content to your group members, back it up, and show it where relevant. You grant Heylo a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting), display, and distribute your content, and to promote the Service using your content.

We do not sell your content or use it in ways unrelated to providing the Service.

If you delete your content, the license ends as to future uses, with three exceptions:

  • Anonymized or aggregated data derived from your content.
  • Copies that have already been shared with your group members.
  • Reasonable backups that roll off over time.

What you promise about your content

When you post content on Heylo, you're telling us:

  • You own it, or you have the rights to post it.
  • It doesn't infringe anyone else's intellectual property, publicity, or privacy rights.
  • You've obtained any necessary permissions from people shown in your content.
  • You're responsible for it.

Discovery and promotion

Heylo decides, at its sole editorial discretion, which groups, events, and content get featured, ranked, or surfaced on public surfaces like Discovery, search, recommendations, and marketing. Following our policies doesn't guarantee that your group or content will appear on any promotional surface.

Payments

Heylo streamlines payment collection for leaders. Here's how it works.

Payment fees. Payment transactions have fees from Heylo and our payment processor. Current fees are published at heylo.com/pricing and may change. We'll let leaders know before any change takes effect.

Refunds. When a leader issues a refund, Heylo's payment fee is refunded too. Payment processor fees are not refunded.

Holdbacks. We may hold back a portion of payouts for a reasonable period to protect against fraud, chargebacks, and refunds.

Negative balances. If your Heylo balance goes negative (for example, because of refunds or chargebacks), we can recover that amount from future payouts or directly from you.

Chargebacks. When there is a chargeback, we will reverse the original payment to your group. If your group's balance is insufficient, we will try to recoup from the linked bank account or deduct from future payments. Your group is responsible for the chargeback amount, and may be responsible for any related fees.

Subscriptions. Subscription products auto-renew until cancelled. Members can cancel anytime; cancellation takes effect at the end of the current billing period.

Taxes. All prices are exclusive of VAT, GST, sales, and similar taxes. You are responsible for any taxes that apply to your transactions. Heylo does not currently collect or remit VAT, GST, or sales tax on your behalf.

Tax reporting. Leaders may receive tax forms, such as a 1099-K in the United States, based on their payout activity. Tax reporting thresholds are set by tax authorities, not by Heylo.

Payment processing. Credit card numbers, bank account details, and similar payment information are collected and processed directly by our third-party payment processor. Heylo does not have access to or store credit card numbers. KYC (know-your-customer) and tax information required for leader payouts are collected and verified by the payment processor.

Communications

Heylo sends three kinds of messages outside of platform messaging:

  • Transactional, like receipts, security alerts, and account notices. These are part of the Service, and you can't opt out of them while you have an account.
  • Marketing from Heylo, like product updates, tips, and promotional content. You can opt out anytime.
  • Group messages from leaders, which may include email, SMS, and WhatsApp. SMS and WhatsApp require opt-in. These are for group communications, not marketing. You can opt out or manage preferences from Heylo anytime.

Opting out of marketing doesn't turn off transactional messages. When you unsubscribe, we honor it immediately.

No spam. Don't use Heylo to send unsolicited mass messages. If you do, we may suspend or terminate your account.

Brand sponsorship campaigns

Heylo may from time to time facilitate brand sponsorship campaigns with groups, whether offered to leaders by Heylo or initiated by a leader through Heylo. Group participation is opt-in per campaign. The leader decides whether their group participates, and participation is subject to any additional terms Heylo presents for that campaign.

Any sponsored content surfaced on public Heylo surfaces will be clearly labeled as "Sponsored."

Heylo is a facilitator, not a party to the underlying campaign agreement between the brand and the leader. Campaign-specific obligations, such as FTC disclosures, deliverables, and exclusivity, live in the per-campaign terms, not in these Terms.

Acceptable use

Please use Heylo in good faith. Don't:

  • Scrape, harvest, or collect member data except as permitted by the Service.
  • Create fake accounts or impersonate other people.
  • Misrepresent your affiliation with any group, organization, or person.
  • Harass, threaten, or abuse other users.
  • Post content that is illegal, violates someone else's rights, or violates our Trust & Safety policies.
  • Interfere with or disrupt the Service, including through malware, denial-of-service attacks, or probing our security.
  • Use the Service to send spam or unsolicited messages.
  • Reverse-engineer or attempt to access the Service's source code or underlying systems except as permitted by law.

AI features

Heylo uses AI-powered features.

AI outputs are provided "as is." We don't guarantee that AI outputs are accurate, complete, or appropriate for your situation. Please use judgment.

When you use an AI feature, your inputs may be processed by third-party model providers. Heylo may also use data to improve its services and features.

Ownership of AI outputs follows the content license above.

Moderation and enforcement

We use automated tools to detect spam and unwanted or illegal imagery. Flagged content may be hidden, removed, or sent to our team for review. Image scanning is used only for moderation, never for advertising or personalization.

You can report content, and you can block other users from messaging you directly. You can leave any group at any time.

If we take action on your content or account and you think we got it wrong, email support@heylo.com to appeal.

Child sexual abuse material is reported to the National Center for Missing & Exploited Children (NCMEC) as required by law.

We may suspend or terminate accounts that violate these Terms.

Disclaimers, liability, and indemnification

"As is"

Heylo is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Heylo's total liability to you for any claim arising out of or relating to these Terms or the Service is capped at the greater of:

  • the fees you paid to Heylo in the 12 months before the claim, excluding amounts passed through to group leaders or payment processors, or
  • one hundred U.S. dollars ($100).

This cap does not apply to:

  • your indemnification obligations,
  • liability resulting from gross negligence or willful misconduct,
  • intellectual property infringement claims we bring against you, or
  • payment obligations.

Heylo is not liable for indirect, incidental, consequential, special, or punitive damages.

Events organized by leaders

Heylo is not a party to, and is not responsible for, the events that leaders organize, including what happens before, during, or after those events. If something goes wrong at an event, that's between you, the leaders, and anyone else involved.

Indemnification

You agree to indemnify and hold Heylo harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising out of:

  • your content,
  • your use of the Service, or
  • your violation of these Terms, including the representations you make about your content above.

Force majeure

Neither party is liable for delays or failures caused by events outside its reasonable control, such as natural disasters, war, civil unrest, labor disputes, pandemic, internet or utility outages, or acts of government.

Dispute resolution

Please read this section carefully. It affects your legal rights.

Arbitration. You and Heylo agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, not in court. Arbitration will be administered by a reputable arbitration provider under its standard rules.

30-day opt-out. You can opt out of arbitration by sending written notice to Heylo at the mailing address below within 30 days of first agreeing to these Terms. If you opt out, the class-action waiver below also doesn't apply to you.

Class-action waiver. You and Heylo agree to bring claims against each other only in your or our individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.

Small claims. Either party may bring a claim in small claims court if it qualifies.

EU and UK users. The arbitration and class-action waiver above do not apply if you live in the European Union or the United Kingdom. Nothing in these Terms overrides the mandatory consumer rights that apply to you under local law, and you may bring claims in the courts of the country where you live.

Termination

You can stop using Heylo anytime. You can also delete your account from within the platform. Deletion deactivates and anonymizes your account. We do not perform a hard purge of all associated data. Backups and certain records are retained as described in our Privacy Policy.

We may suspend or terminate your account if you violate these Terms or if we need to for legal, safety, or operational reasons.

Sections that by their nature should survive termination, including content licenses already granted, payment obligations, disclaimers, liability limits, indemnification, and dispute resolution, survive termination.

Changes to these Terms

These Terms may change over time.

For material changes, we'll give you at least 30 days' advance notice by email and a platform notice before the change takes effect.

Non-material changes, like fixing typos, clarifying existing terms, or adding a new feature description that doesn't affect your rights, may take effect immediately.

If you keep using Heylo after a change takes effect, you accept the updated Terms. If you don't accept them, please stop using Heylo and close your account.
